Terms of Service
Effective Date: January 1, 2025
These Terms of Service (“Terms”) govern your access to and use of the WattaPro platform operated by WattaPro, Inc. (“WattaPro,” “we,” “our,” or “us”). By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Platform. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
1. Eligibility
- You must be at least 18 years of age to use the Platform.
- You must be a resident of the United States.
- You must be legally permitted to work in the United States if registering as a tradesperson.
- You may not use the Platform if you have been previously banned by WattaPro or if your account has been terminated for cause.
2. Account Registration and Security
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your password and account credentials.
- You must verify your email address within 48 hours of registration. Unverified accounts are automatically deleted.
- You must notify us immediately at admin@tradebasehq.com if you suspect unauthorized access to your account.
- You are responsible for all activity that occurs under your account.
- Each person may maintain only one account. Creating multiple accounts to circumvent bans or reviews is prohibited.
3. Subscriptions and Billing
- Free Plan: Available to all registered users at no charge with stated limitations.
- Pro Plan: $9.99/month (USD), billed monthly. Provides unlimited job applications, verified badge, and additional features.
- Elite Plan: $24.99/month (USD), billed monthly. Includes all Pro features plus premium placement and analytics.
- Subscriptions are billed at the start of each billing cycle and renew automatically until cancelled.
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are given for partial billing periods.
- We reserve the right to change subscription pricing with 30 days’ notice. Price changes take effect at your next renewal.
- There are no per-lead fees on any plan.
- All prices are in US dollars.
4. User Conduct
You agree to use the Platform lawfully and in good faith. You must not:
- Post false, misleading, or fraudulent job listings, profiles, or reviews.
- Impersonate any person or entity.
- Harass, threaten, or intimidate other users.
- Attempt to circumvent our contact protection by sharing phone numbers or email addresses in messages before a job is accepted.
- Post or transmit spam, unsolicited commercial messages, or advertising.
- Scrape, crawl, or otherwise systematically extract data from the Platform.
- Attempt to gain unauthorized access to any part of the Platform or its systems.
- Use the Platform to facilitate illegal activity, including unlicensed contracting where a license is legally required.
- Upload or share content that is defamatory, obscene, or violates the intellectual property rights of others.
- Create fake reviews or otherwise manipulate the ratings system.
- Use automated tools, bots, or scripts to interact with the Platform.
- Conduct business with users off-platform solely to deprive WattaPro of subscription revenue after making initial contact through the Platform.
5. Tradesperson Responsibilities
If you register as a tradesperson, you additionally agree that:
- All credentials, licenses, and insurance information you list are accurate and current.
- You hold all state and local licenses required to perform the trades you offer in the jurisdictions where you advertise.
- You carry liability insurance as required by applicable law or as represented on your profile.
- You will not accept jobs for which you are not legally qualified to perform.
- You will provide services in a workmanlike manner consistent with applicable building codes and industry standards.
- WattaPro is not a party to any contract between you and a job poster. You contract directly with the client.
6. Job Posters
If you post jobs on the Platform, you agree that:
- Your job listings accurately describe the work required and the compensation offered.
- You will not post jobs for illegal services or services requiring government permits you do not intend to obtain.
- You will communicate respectfully with applicants.
- WattaPro is not responsible for the quality, safety, or legality of any work performed in connection with a job posted on the Platform.
7. Reviews and Ratings
- Reviews must be based on genuine first-hand experience with the user being reviewed.
- Reviews may not contain false statements of fact.
- We reserve the right to remove reviews that violate these Terms or our Community Guidelines.
- Attempting to manipulate ratings — including by submitting fake reviews or pressuring users to remove reviews — is grounds for immediate account termination.
8. Internal Messaging and Contact Protection
- The Platform provides an internal messaging system to facilitate communication between users.
- Contact information (phone numbers and email addresses) is automatically detected in messages and restricted until a job is mutually accepted.
- You agree not to attempt to share personal contact information through messages, profiles, or other Platform features before job acceptance.
- WattaPro may review flagged messages for platform safety purposes.
9. Reporting and Trust & Safety
- Users may report content or other users using the Report function. False reports submitted in bad faith may result in account suspension.
- Users may block other users to prevent further contact.
- WattaPro’s Trust & Safety team will review reports within 24 hours.
- WattaPro reserves the right to suspend or terminate accounts, remove content, or take other action in response to reports or its own investigations.
- Determinations by WattaPro’s Trust & Safety team are final.
10. Two-Factor Authentication
WattaPro offers optional two-factor authentication (2FA) using an authenticator app. We strongly recommend enabling 2FA to protect your account. While 2FA significantly increases account security, you acknowledge that no security measure is foolproof and that you remain responsible for unauthorized access to your account.
11. Intellectual Property
- WattaPro and its licensors own all intellectual property rights in the Platform, including its software, design, and content.
- You retain ownership of content you post (profiles, job listings, reviews, messages). By posting content, you grant WattaPro a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content as necessary to operate the Platform.
- You may not use WattaPro’s trademarks, logos, or brand assets without our prior written consent.
12. Disclaimers
- The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.
- WattaPro does not verify the qualifications, licenses, insurance, or background of tradespersons except where expressly indicated by a trust badge.
- WattaPro is not responsible for the quality of work performed, disputes between users, or any injury or damage arising from use of the Platform.
- We do not guarantee that the Platform will be error-free, uninterrupted, or free from harmful components.
13. Limitation of Liability
To the fullest extent permitted by applicable law:
- WattaPro’s total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of (a) $100 or (b) the amount you paid to WattaPro in the 12 months preceding the claim.
- WattaPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Some jurisdictions do not allow the limitation of certain warranties or liability, so some limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless WattaPro and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) content you submit or post.
15. Dispute Resolution
15.1 Informal Resolution
Before filing a formal claim, you agree to contact us at admin@tradebasehq.com to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Austin, Texas. The arbitrator’s decision is final and binding.
15.3 Class Action Waiver
You waive your right to participate in any class action lawsuit or class-wide arbitration against WattaPro. All claims must be brought in your individual capacity.
15.4 Exceptions
Nothing in this section prevents either party from seeking emergency injunctive relief from a court to protect intellectual property rights or prevent irreparable harm.
15.5 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
16. Termination
- You may delete your account at any time from your account settings.
- WattaPro may suspend or terminate your account immediately, without notice, for any material violation of these Terms.
- Upon termination, your right to use the Platform ceases. Provisions that by their nature survive termination (including Sections 11–15) shall continue to apply.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after notice constitutes your acceptance of the updated Terms.
